Investment Highlights
Largest Events Database: With over XXM registered usersand XXK performers, we believe Eventful has achieved critical mass and a competitive advantage in events management. The company is also a one-stop shop for other events such as sports, theater and family activities.
Demand Feature: Eventful’s unique ‘Demand’ feature allows performers to tailor their itinerary to demand in various locations. The company’s partnership with industry leaders such as Ticketmaster should lend it credibility.
Valuation: We used the following methods – a) Target EV based on steady state revenues, normalized net margins, and a growth multiple, and b) Multiple of EV/Revenue for comparable companies to arrive at an enterprise valuation of $XX – $XXM for Eventful, and an estimated price per share of $XX – $XX for common stock (in the event of an IPO).
Investment Concerns
Competitive Marketplace: A number of new players have entered the events listing market. The content is generated primarily by users who can be lured to many sites that appear to offer similar features. Notables include companies such as Eventbrite and Culture Mob, which have built a presence in the local events listing market in recent months.
Risk to Common Shareholders: We note that the most recent funding, Series C in October 2008, has a XXx liquidation multiple. This limits the upside to common shareholders for a non-IPO exit unless the value of an exit significantly exceeds $XXM. We believe the industry is still in early stages of growth and that the company valuation could go up. But at our current valuation, an IPO is unlikely while any other exit could leave little, if anything, for the common shareholders. Refer to the valuation section for more analysis.
